These Terms of Service ("Terms") govern your access to and use of BankRegPulse's regulatory intelligence platform, API, and related services ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Service Description

BankRegPulse provides real-time regulatory intelligence for financial institutions, including:

• Access to federal and state banking regulatory documents
• AI-powered analysis and categorization
• Sentiment scoring and trend analysis
• Bank application tracking (FDIC & OCC)
• Daily intelligence briefings
• API access to all data and analytics

2. Account Registration & API Keys

2.1 Account Creation

To access our Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.

2.2 API Keys

API keys are provided for programmatic access. You must:

• Keep API keys confidential and secure
• Not share API keys with unauthorized third parties
• Immediately notify us if an API key is compromised
• Comply with all rate limits and usage restrictions

3. Acceptable Use

3.1 Permitted Uses

You may use our Services for:

• Internal regulatory monitoring and compliance
• Risk assessment and analysis
• Business intelligence and decision-making
• Integration into your internal systems and workflows

3.2 Prohibited Uses

You may NOT:

• Resell, redistribute, or sublicense our data without explicit written permission
• Use automated scraping to bypass our API
• Reverse engineer or attempt to extract our proprietary algorithms
• Use the Services for illegal purposes or to violate regulations
• Overload or disrupt our infrastructure
• Share your account or API keys with unauthorized users

4. Data & Intellectual Property

4.1 Data Ownership

BankRegPulse aggregates publicly available regulatory data and applies proprietary AI analysis. While underlying government documents are public domain, our:

• AI-generated summaries and analysis
• Categorization and tagging
• Sentiment scores and algorithms
• Database structure and organization

...are proprietary and protected by intellectual property law.

4.2 Your Use of Data

You may use data retrieved from our Services internally for the permitted uses described above. Any external publication or redistribution requires prior written consent.

5. Subscription Plans & Payment

5.1 Trial Access

We offer a 14-day trial with 1,000 API calls/month. Trial accounts may be converted to paid subscriptions at any time.

5.2 Paid Subscriptions

Full Access subscriptions ($1,000/month) include:

• Unlimited API calls
• Webhook notifications
• Priority support
• Production SLA (99.5% uptime)

5.3 Billing

Subscriptions are billed monthly in advance. Payments are non-refundable except as required by law. You authorize us to charge your payment method on file for recurring subscriptions.

5.4 Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds are provided for partial months.

6. Service Level & Availability

6.1 Uptime Commitment

For paid subscriptions, we target 99.5% uptime. Scheduled maintenance will be announced 48 hours in advance when possible.

6.2 Data Freshness

We collect regulatory data in real-time from source feeds. Data freshness depends on regulator publication schedules and is typically within minutes to hours of publication.

6.3 No Warranty

Services are provided "as is" without warranty. While we strive for accuracy, we do not guarantee:

• Completeness of regulatory coverage
• Absence of errors or omissions
• Suitability for specific compliance requirements

You remain responsible for your own regulatory compliance obligations.

7. Limitation of Liability

To the maximum extent permitted by law:

• BankRegPulse shall not be liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for regulatory fines, penalties, or compliance failures

8. Indemnification

You agree to indemnify and hold harmless BankRegPulse from claims arising from:

• Your violation of these Terms
• Your misuse of the Services
• Your violation of applicable laws or regulations

9. Privacy & Data Protection

Our collection and use of personal information is governed by our Privacy Policy. By using our Services, you consent to such collection and use.

10. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email 30 days in advance. Continued use of Services after changes take effect constitutes acceptance.

11. Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or abusive behavior

Upon termination, you must cease using our Services and delete any cached data.

12. Export Compliance

Our Services may not be used in violation of U.S. export laws. You represent that you are not located in, under the control of, or a national of any country subject to U.S. embargo.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Disputes shall be resolved in Delaware courts.
